Terms of Service

You must be at least 18 years old to use the Service. If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and the words "you" and "your" refer to that entity. If you do not have that authority, you must not use the Service.

You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. One account is intended for use by a single business owner or operator — sharing login credentials with non-members is a breach of these Terms. Notify us immediately at support@cleaningbiztoolkit.com if you suspect unauthorised use of your account.

CleaningBiz Toolkit is offered on monthly and yearly subscription plans and as a one-time lifetime purchase. Subscription plans automatically renew at the end of each billing period at the then-current rate until cancelled. By subscribing you authorise us and our payment processor to charge your chosen payment method on a recurring basis.

All prices are listed in the currency shown at checkout and are exclusive of any applicable taxes, levies, or duties, which you are responsible for. We may change pricing at any time; price changes will not apply to your current billing period and will take effect on your next renewal after reasonable notice.

You may cancel a recurring subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until that period ends. Except where required by applicable law, payments are non-refundable and we do not provide partial refunds for unused time, downgrades, or accounts cancelled mid-period. Lifetime purchases are final and non-refundable except where required by law.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the guides, templates, tools, courses, Radar articles, and AI outputs available in the Service for your own internal cleaning business operations. You may adapt downloadable templates for use within your own business. You may not resell, sublicense, redistribute, publish, share with non-members, or use the content to build a competing product or service.

The Service and all content within it — including guides, templates, calculators, tools, courses, Radar articles, software, design, trademarks, logos, and AI prompts and outputs generated by the Service — are owned by CleaningBiz Toolkit or its licensors and are protected by intellectual property laws. All rights not expressly granted to you are reserved. Nothing in these Terms transfers any ownership rights to you.

You agree not to, and not to permit any third party to:

• Copy, scrape, crawl, mirror, or redistribute the Service or its content;
• Reverse engineer, decompile, or attempt to derive the source code of the Service;
• Use the Service in violation of any law, regulation, or third-party right;
• Share account credentials, resell access, or provide access to non-members;
• Upload malicious code, attempt to disrupt or overload the Service, or bypass security controls;
• Use AI outputs to harass, defame, mislead, or harm any person or business.

The AI assistant (including Cleo AI) produces machine-generated responses based on platform resources and your inputs. Outputs may be inaccurate, incomplete, out of date, or unsuitable for your specific situation. You are solely responsible for reviewing, verifying, and deciding whether to rely on or act on any AI output. AI outputs do not constitute legal, tax, financial, or other professional advice.

The Service relies on third-party providers, including but not limited to hosting and database (Supabase), payment processing, email delivery (Resend), and AI providers. Your use of features that involve those providers is also subject to their terms and privacy policies, and we are not responsible for their acts or omissions.

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RESULTS. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any business or financial outcome will be achieved through use of the Service.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CleaningBiz Toolkit, its owners, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings, arising out of or related to your use of the Service. Our aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) AUD $100.

You agree to defend, indemnify, and hold harmless CleaningBiz Toolkit and its owners, employees, and contractors from any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law, or your infringement of any third-party right.

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms, created risk or legal exposure for us, or for any other lawful reason. You may close your account at any time. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnities, and governing law — will continue to apply.

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-laws rules. You and CleaningBiz Toolkit submit to the exclusive jurisdiction of the courts located in New South Wales, Australia for any dispute arising out of or related to these Terms or the Service.

We may update these Terms from time to time. When we make material changes, we will notify active members by email or in-app notice and update the "Updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
